Terms and conditions

By accessing or using the Koalab platform, including the Koalab Sync service (hereinafter "the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any of these terms, you must not use the Service.

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Continued use of the Service after the publication of modifications to these Terms constitutes acceptance of those modifications.

• "Koalab" / "we": the company operating the Service.
• "User" / "you": any person who accesses or uses the Service.
• "Account": the personalized access created upon registration.
• "Service": the Koalab platform and all its features, including Koalab Sync.
• "Store": a WooCommerce installation connected to the Service via API credentials.
• "User Content": data, settings and other information that the user introduces into the Service.
• "Subscription Plan": the contracted service level, with its corresponding limits and price.

Koalab Sync is a SaaS platform that allows updating prices, stock and sale prices across WooCommerce stores from a single centralized panel. You can connect multiple stores and synchronize them independently, one at a time. The Service is provided through the web interface at koalab.tech.

Available features vary depending on the contracted subscription plan. Koalab reserves the right to modify, add or remove features with reasonable prior notice to users.

The Service is exclusively for adults with full legal capacity to enter into binding contracts. By creating an account, you declare and warrant that you are at least 18 years old or the age of majority required by the laws of your country of residence, and that you have sufficient legal capacity to be bound by these Terms.

To use the Service you must create an account by providing truthful, complete and current information. You are responsible for maintaining the confidentiality of your access credentials and for all activities conducted under your account.

You must notify us immediately at hola@koalab.tech if you suspect unauthorized access to your account.

We reserve the right to refuse registration or cancel accounts at our discretion, especially in cases of fraudulent use, abuse or breach of these Terms.

The Service is offered under different subscription plans billed monthly or annually. Current prices are available on the koalab.tech pricing page and may vary by region.

Payment processing — Merchant of Record: Payments, billing and subscription management are processed by Polar Software Inc. ("Polar"), acting as Merchant of Record on behalf of Koalab. By completing a purchase or subscription you also accept Polar's Terms of Service.

Taxes: Polar automatically calculates and remits applicable taxes based on your country of residence and applicable local regulations.

Free trial: When you register for Koalab Sync you get a 7-day free trial with all Professional plan features active. No credit card is required to start the trial. When the trial ends, access is suspended immediately until you purchase a paid plan. There is no grace period once the trial concludes.

Automatic renewal: Subscriptions renew automatically at the end of each billing period. You can cancel at any time from your account panel. Cancellation takes effect at the end of the current paid period.

Plan changes: Upgrades take effect immediately and are prorated; downgrades take effect in the next billing period.

Refunds: Since the Service includes a free trial, we do not offer refunds once the first paid subscription has started, unless the law applicable in your country requires otherwise. To request a legally mandated refund, contact us at hola@koalab.tech within the applicable legal period.

When using the Service, you agree not to:

• Use the Service for illegal or unauthorized purposes.
• Attempt unauthorized access to systems, data or other users' accounts.
• Reverse engineer, decompile or attempt to extract source code.
• Transmit malware, viruses or other harmful code.
• Intentionally overload the Service infrastructure (DDoS attacks, mass scraping, etc.).
• Resell, sublicense or redistribute access to the Service without prior written authorization.
• Provide false information during registration or use of the Service.
• Use the Service to sync content that infringes third-party intellectual property rights.

Breach of these conditions may result in immediate suspension or cancellation of the account without right to a refund.

To use the Service you must provide access credentials for your WooCommerce store(s) (consumer key and consumer secret). By doing so:

• You confirm that you are the owner or have authorization to connect those stores.
• You authorize Koalab to access store data exclusively to provide the Service.
• You accept that credentials will be stored in encrypted form and not shared with unauthorized third parties.

The credentials you provide are encrypted at rest using AES-256. No Koalab employee or contractor can access your credentials in plain text; the system decrypts them automatically only at the moment synchronization operations are performed.

Koalab is not responsible for damages arising from the malfunction of the WooCommerce API or changes to that API made by third parties.

The Service, including its software, design, logos, text and content, is the exclusive property of Koalab and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable and revocable license to access and use the Service in accordance with these Terms.

Content you introduce into the Service (settings, rules, product data) is and remains your property. You grant us a license to process it solely for the purpose of providing the Service.

Koalab strives to keep the Service continuously available, but does not guarantee 100% availability. Interruptions may occur due to scheduled maintenance, unforeseen technical failures or force majeure.

Koalab is not responsible for losses arising from service interruptions, provided such interruptions are not attributable to gross negligence on the part of Koalab.

To the maximum extent permitted by applicable law, Koalab shall not be liable for indirect, incidental, special, consequential or punitive damages, including lost profits, data, business or reputation.

Koalab's total liability shall not exceed the amount paid by the user in the twelve (12) months prior to the event giving rise to the claim.

The Service is provided "as is" and "as available", without warranties of any kind, express or implied.

The processing of your personal data is governed by our Privacy policy, which forms an integral part of these Terms.

11.1 Transactional communications

By registering you agree to receive transactional communications related to your account (confirmations, security alerts, payment notifications, etc.). You cannot opt out of these communications while the account is active.

11.2 Marketing communications

With your consent, we may send you emails about new features, updates and promotions. You can unsubscribe at any time by writing to privacidad@koalab.tech.

11.3 Analytics and advertising

We use analytics and advertising tracking tools whose use is conditional on your consent. See our Cookie policy for more information.

Koalab reserves the right to modify or discontinue the Service at any time. For material changes, we will notify users with at least 30 days' notice by email.

Price modifications will be communicated with at least 30 days' notice and will apply from the next billing period. If you disagree, you may cancel before they take effect.

You may cancel your account at any time from the user panel.

Koalab may suspend or terminate your access to the Service immediately if:

• You breach any of these Terms.
• You engage in fraudulent or illegal activities using the Service.
• Subscription payment remains outstanding for more than 10 days.
• Required by a legal or regulatory authority.

After termination, you may request a data export by emailing hola@koalab.tech. Data will be exported within 30 calendar days of receiving your request.

These Terms are governed by the laws of the Republic of Colombia. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Medellín, Colombia.
